AWARE.AI TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, web applications, communications services, artificial-intelligence-enabled features, and related products and services offered by Aware.ai, Inc. (“Aware.ai,” “Aware,” “we,” “us,” or “our”).

Our services may be made available under the Aware.ai, Aware Care, Aware Motherhood, or another Aware-branded or participating-care-organization-branded experience. Collectively, these offerings are referred to as the “Services.”

By creating an account, accessing or using the Services, or otherwise indicating your acceptance of these Terms, you agree to these Terms and our Privacy Policy.

 

1. ABOUT AWARE.AI

Aware.ai provides technology designed to help individuals, families, supporters, and care organizations stay connected during healthcare journeys in which ongoing support between care encounters may be helpful.

Depending on the particular implementation, the Services may allow users to:

  • communicate needs, experiences, questions, or concerns;

  • access educational information and resources;

  • receive AI-assisted information and guidance;

  • access resources approved or provided by participating care organizations;

  • communicate with participating care organizations or care-team members;

  • receive notifications regarding activity within the Services;

  • participate in communities or support experiences;

  • track care-related activities, milestones, or timelines;

  • upload information, messages, photographs, documents, or other content;

  • connect with family members, caregivers, supporters, or other authorized individuals; and

  • enable participating organizations to understand engagement, resource use, support needs, and other information made available through the Services.

Aware may support maternal and postpartum care, procedure and recovery care, and other healthcare journeys where ongoing support, education, communication, or navigation may be beneficial.

The Services may change and evolve over time.

 

2. AWARE.AI IS A TECHNOLOGY PLATFORM

Aware.ai provides technology and is not, solely by providing the Services, a hospital, medical practice, physician, nurse, therapist, doula, emergency service, or other licensed healthcare provider.

Certain Services may be offered in collaboration with hospitals, clinics, medical practices, doulas, care organizations, community organizations, health plans, or other organizations (“Participating Care Organizations”).

Participating Care Organizations are separate entities and remain responsible for the healthcare, professional, or other services they provide.

Unless expressly stated otherwise in writing:

  • Aware.ai does not employ your physician or other healthcare provider;

  • Aware.ai does not control the independent professional judgment of a Participating Care Organization;

  • using Aware does not create a physician-patient or other licensed professional relationship between you and Aware.ai;

  • Aware.ai does not independently prescribe medications, diagnose medical conditions, or make treatment decisions; and

  • a Participating Care Organization’s use of Aware does not mean Aware guarantees the quality, availability, timeliness, or outcome of that organization’s services.

3. NOT MEDICAL ADVICE

Information provided through Aware is intended to support education, communication, navigation, access to resources, and connection with appropriate human support.

Aware does not replace professional medical advice, diagnosis, treatment, or emergency care.

AI-generated or AI-assisted information may be based on general information, information supplied by you, information made available by a Participating Care Organization, provider-approved resources where applicable, or other information available through the Services.

Artificial intelligence systems may make mistakes, misunderstand context, or provide incomplete, inaccurate, or outdated information.

You should not rely on Aware as the sole basis for making medical or treatment decisions.

Always seek the advice of an appropriately qualified healthcare professional regarding medical symptoms, diagnoses, medications, treatments, procedures, or changes in your health.

4. EMERGENCIES AND URGENT HEALTH CONCERNS

Aware.ai is not an emergency service.

Do not use Aware, in-app messaging, SMS, AI features, communities, or other Services for emergencies or situations requiring immediate medical attention.

If you believe you or another person may be experiencing a medical, psychiatric, mental-health, or other emergency, call 911 or your applicable local emergency number immediately or go to the nearest emergency department.

Messages sent through Aware may not be reviewed immediately.

Receipt, transmission, delivery, escalation, or display of information through Aware does not guarantee that a healthcare professional or other person has received, reviewed, acted upon, or responded to it.

5. ELIGIBILITY AND ACCOUNT REGISTRATION

You must be legally permitted to use the Services and comply with any eligibility requirements associated with the particular program through which you receive access.

If you are under the age of majority where you live, your use of the Services may require authorization from a parent, legal guardian, Participating Care Organization, or another legally authorized person, except where applicable law allows you to consent independently.

When creating or using an account, you agree to:

  • provide accurate and current information;

  • maintain accurate contact information;

  • keep your login credentials confidential;

  • not share authentication credentials or one-time passcodes;

  • promptly notify us if you believe your account has been compromised; and

  • provide only telephone numbers, email addresses, and other contact information that you are authorized to use.

You are responsible for taking reasonable steps to protect access to your account and devices.

6. ARTIFICIAL INTELLIGENCE FEATURES

Aware may use artificial intelligence, machine learning, natural-language processing, voice-processing technologies, or related technologies to help understand user input and provide relevant information, resources, summaries, guidance, or routing.

By using AI-enabled features, you acknowledge that:

  1. AI output may be inaccurate, incomplete, outdated, or inappropriate for your individual circumstances.

  2. AI output does not constitute a medical diagnosis.

  3. AI output does not guarantee that a particular healthcare need, condition, risk, or emergency will be identified.

  4. AI features are not substitutes for appropriately qualified healthcare professionals.

  5. You should seek professional assistance when appropriate.

  6. Safeguards, approved information sources, workflows, or human-escalation features may reduce certain risks but cannot eliminate all errors or risks.

You may not intentionally use Aware’s AI features to generate unlawful, abusive, deceptive, harmful, fraudulent, or malicious content.

 

7. PARTICIPATING CARE ORGANIZATIONS

If you access Aware through a Participating Care Organization, certain functionality, resources, workflows, communications, branding, or content may be configured by that organization.

A Participating Care Organization may determine matters including:

  • available resources;

  • participating care-team members;

  • care-team assignments;

  • communication workflows;

  • program eligibility;

  • care pathways;

  • escalation procedures;

  • organizational content;

  • communication practices; and

  • the duration of access to a particular program.

Aware provides technology that facilitates these experiences but is not responsible for a Participating Care Organization’s independent professional services, clinical judgment, or treatment decisions.

 

8. HEALTHCARE PRIVACY

Some information processed through Aware may relate to health, pregnancy, postpartum experiences, treatment, recovery, emotional wellbeing, or other sensitive care-related matters.

Aware handles personal information in accordance with its Privacy Policy and applicable privacy laws.

Participating Care Organizations may have their own privacy obligations, policies, notices, and procedures governing information they collect, access, or use in connection with the Services.

Where applicable, additional contractual or privacy requirements may apply between Aware and a Participating Care Organization.

Nothing in these Terms creates a healthcare-provider relationship between Aware and a user or changes the independent legal or professional responsibilities of a Participating Care Organization.

 

9. USER CONTENT AND COMMUNICATIONS

The Services may allow you to submit messages, voice recordings, text, photographs, profile information, questions, community posts, feedback, documents, files, or other material (“User Content”).

You retain ownership of your User Content.

You permit Aware to host, process, transmit, reproduce, format, and otherwise use User Content as reasonably necessary to:

  • operate the Services;

  • provide requested functionality;

  • facilitate authorized communications;

  • maintain security;

  • provide support;

  • comply with applicable law;

  • improve the Services where legally permitted; and

  • perform obligations to Participating Care Organizations where applicable.

This permission does not transfer ownership of your User Content to Aware.

You represent that you have the right to provide any content you submit through the Services.

 

10. PHOTOGRAPHS AND HEALTH-RELATED CONTENT

Certain programs may permit users to upload photographs or other health-related information.

Unless expressly stated otherwise in connection with a specific service, Aware does not independently diagnose medical conditions from photographs submitted through the Services.

Photographs, recordings, measurements, and other user-submitted content should not be relied upon as substitutes for appropriate professional medical evaluation.

 

11. COMMUNITIES AND USER-TO-USER INTERACTIONS

Aware may offer community, support-group, social, or user-to-user communication features.

When using these features, you may not:

  • harass, threaten, stalk, or abuse another person;

  • impersonate another person;

  • post unlawful, discriminatory, abusive, or harmful material;

  • solicit unlawful activity;

  • intentionally disclose another person’s confidential or health information without authorization;

  • exploit or attempt to exploit vulnerable users;

  • distribute malware or malicious code;

  • engage in fraud;

  • send commercial spam; or

  • otherwise use the Services in a manner reasonably likely to harm other users.

Aware may remove content or restrict, suspend, or terminate access where reasonably necessary to protect users, maintain platform integrity, comply with law, or enforce these Terms.

Information you voluntarily share in community or other user-visible areas may be visible to other authorized users. Exercise care before sharing sensitive information.

12. SMS AND MOBILE MESSAGING TERMS

Aware.ai may operate transactional SMS programs in connection with the Services.

These programs may operate under the Aware.ai, Aware Care, or Aware Motherhood brands and may support users of Participating Care Organizations.

Consent for one SMS program does not constitute consent for another SMS program or for marketing communications.

 

12.1 PROGRAM OPERATOR

12.2 OTP AND VERIFICATION MESSAGES

Aware may send one-time passcodes (“OTP”) for:

  • phone-number verification;

  • registration;

  • login;

  • multi-factor authentication;

  • account recovery; and

  • other user-requested security or verification functions.

OTP messages are sent in connection with a verification or authentication action initiated by or for the user.

Message frequency varies, generally one message per verification request plus any user-requested resends.

OTP messages do not contain promotional content.

 

12.3 SECURE MESSAGE AND ACCOUNT NOTIFICATIONS

Users may separately choose to receive transactional SMS notifications regarding:

  • new or unread secure messages;

  • account activity;

  • care-program activity; or

  • other transactional activity within Aware.

SMS notifications are generally designed to alert users that information is available within Aware and may require users to sign in to view the underlying information.

Routine SMS notifications are not intended to contain patient names, diagnoses, detailed medical information, treatment details, or the underlying content of secure care-team messages.

Message frequency varies based on care-team activity, account activity, program activity, and your notification settings.

 

12.4 CONSENT

Consent is specific to the SMS program for which it is obtained.

Consent to receive OTP or verification messages does not constitute consent to receive secure-message notifications, marketing messages, or another SMS program.

Consent to receive secure-message or account notifications does not authorize marketing or promotional SMS.

Where recurring SMS notifications are optional, consent is not a condition of purchasing goods or services or receiving care.

You represent that you are the subscriber or authorized user of any telephone number you provide.

 

12.5 ENROLLMENT

Depending on the applicable program, SMS enrollment may occur when you:

  • provide your telephone number and affirmatively consent to the disclosed messages;

  • select an SMS consent checkbox or similar control;

  • request a verification code;

  • enable an SMS notification preference;

  • text an applicable enrollment keyword; or

  • otherwise provide affirmative consent through an approved enrollment method.

The applicable enrollment experience may provide information about the messaging program, message frequency, message and data rates, opt-out methods, support options, and links to these Terms and our Privacy Policy.

 

12.6 MESSAGE AND DATA RATES

Message and data rates may apply.

Aware.ai does not charge a separate fee for receiving Aware SMS messages, but your wireless carrier may charge you according to your mobile plan.

Contact your wireless carrier for information regarding your messaging or data plan.

 

12.7 MESSAGE FREQUENCY

For OTP and verification messages:

Message frequency varies, generally one message per verification request plus user-requested resends.

For secure-message, account, or program notifications:

Message frequency varies based on account, care-team, or program activity and your notification settings.

 

12.8 STOP AND OPTING OUT

You may withdraw consent to recurring SMS notifications at any time by replying:

STOP

to the telephone number that sent the message.

Where available, you may also disable optional SMS notifications through your Aware settings.

After a valid opt-out request, recurring messages from the applicable messaging program will stop unless you subsequently provide valid consent again, except for an opt-out confirmation where permitted.

Opting out of optional SMS notifications does not prevent you from accessing secure messages or other information through the Aware application or website.

Where supported, you may re-enroll by following the applicable opt-in process or using a supported resubscription keyword such as:

START or UNSTOP

 

12.9 HELP

Reply:

HELP

to the number that sent the message for assistance with the applicable SMS program.

12.10 CARRIER AND DELIVERY LIMITATIONS

SMS delivery depends on wireless-carrier and network availability and is not guaranteed.

Wireless carriers are not liable for delayed or undelivered messages.

SMS functionality may not be available through every carrier, device, telephone number, or geographic area.

 

12.11 SMS PRIVACY

Aware may process information related to SMS services, including:

  • telephone number;

  • consent status;

  • date, time, and source of opt-in;

  • opt-out status;

  • delivery information;

  • messaging-program enrollment;

  • message metadata; and

  • information reasonably required to provide, secure, maintain, or troubleshoot the messaging service.

Mobile information, including SMS opt-in data and consent, will not be shared with third parties or affiliates for their own marketing or promotional purposes.

Aware may disclose such information to contracted service providers, telecommunications providers, infrastructure providers, Participating Care Organizations where appropriate and legally permitted, and other processors only as reasonably necessary to provide, secure, maintain, or administer the relevant messaging service or as required by law.

Our Privacy Policy provides additional information regarding our information practices.

 

12.12 OTP SECURITY

One-time passcodes are time-limited and should be kept confidential.

Do not share a verification code with another person.

Aware.ai representatives will not contact you and ask you to disclose a verification code.

If you receive a verification code that you did not request, do not provide the code to another person. Review your account security and contact Aware support if appropriate.

 

12.13 HEALTHCARE AND EMERGENCY LIMITATIONS FOR SMS

SMS is not an appropriate channel for emergencies or detailed medical communications.

Do not reply to an automated Aware SMS notification with medical symptoms, diagnoses, photographs, treatment information, or other sensitive health information unless Aware expressly provides a secure method designed for that purpose.

SMS notifications:

  • are informational;

  • are not medical advice;

  • may not be continuously monitored;

  • are not appropriate for emergencies; and

  • do not guarantee an immediate response from a care team.

Call 911 or your applicable local emergency number for emergencies.

 

12.14 CHANGES TO YOUR TELEPHONE NUMBER

You are responsible for maintaining an accurate telephone number associated with your account.

If you surrender, deactivate, transfer, or stop using your telephone number, you should update your account information and opt out of SMS messages before relinquishing the number where reasonably possible.

Aware may suspend or discontinue messaging to telephone numbers that appear invalid, disconnected, deactivated, or reassigned.

 

12.15 SMS PROGRAM CHANGES

Aware may modify, suspend, or discontinue an SMS program subject to applicable law.

You may withdraw consent to recurring SMS messages at any time as described above.

 

13. OTHER ELECTRONIC COMMUNICATIONS

With your permission or as otherwise permitted by law, Aware may communicate with you by:

  • email;

  • push notification;

  • in-app notification;

  • telephone;

  • SMS;

  • web notification; and

  • other supported electronic methods.

Transactional, administrative, security, and account-related communications may differ from promotional communications.

 

14. PRIVACY

Our collection, use, disclosure, retention, and protection of personal information are described in the Aware.ai Privacy Policy, available at:

Where Aware processes information in connection with a Participating Care Organization, additional privacy or organizational requirements may apply.

 

15. SECURITY

You acknowledge that no electronic system can be guaranteed to be completely secure.

You may not:

  • attempt to bypass authentication or security controls;

  • access another person’s account without authorization;

  • interfere with platform security;

  • probe or test systems without authorization;

  • upload malware or malicious code;

  • attempt to obtain unauthorized access to information; or

  • assist another person in doing any of the foregoing.

Aware may take reasonable actions to investigate suspected misuse, protect users, and maintain platform security.

 

16. ACCEPTABLE USE

You may not use the Services:

  • unlawfully or fraudulently;

  • to impersonate another person;

  • to harass, threaten, or abuse;

  • to violate intellectual-property or privacy rights;

  • to distribute unauthorized spam or unsolicited communications;

  • to interfere with the operation of the Services;

  • to scrape or harvest user information without authorization;

  • to bypass technical restrictions;

  • to introduce malicious code;

  • to gain unauthorized access to systems or information; or

  • in a manner that creates an unreasonable risk to users, Aware, Participating Care Organizations, or third parties.

 

17. INTELLECTUAL PROPERTY

The Services and their software, interfaces, trademarks, logos, designs, workflows, documentation, platform technology, and Aware-owned content are owned by Aware.ai or its licensors and may be protected by applicable intellectual-property laws.

Except as expressly authorized, you may not copy, modify, distribute, sell, license, reproduce, reverse engineer, or create derivative works from Aware technology.

The Aware.ai, Aware Care, and Aware Motherhood names, logos, and associated branding may be trademarks or service marks of Aware.ai.

 

18. THIRD-PARTY SERVICES AND RESOURCES

Aware may provide links or connections to third-party services, healthcare providers, resources, websites, applications, benefits programs, community organizations, or other entities.

The inclusion of a third-party resource does not necessarily constitute an endorsement or guarantee by Aware.

Third parties may maintain their own terms, eligibility requirements, privacy policies, fees, and service limitations.

Aware does not control independent third-party services and is not responsible for their acts, omissions, availability, or content except where required by applicable law.

 

19. FEES AND PAYMENT

Some Services may be paid for by a Participating Care Organization, health plan, employer, sponsor, or other organization.

Other Services or features may require payment by an individual user.

If a fee applies, the applicable price and billing or subscription terms will be disclosed before you are charged.

You agree to pay charges that you expressly authorize.

 

20. CHANGES TO THE SERVICES

Aware may add, modify, improve, limit, suspend, or discontinue features or Services.

Healthcare workflows, resources, participating organizations, and programs may also change over time.

Where required by applicable law, we will provide appropriate notice of material changes.

 

21. SUSPENSION AND TERMINATION

Aware may suspend or terminate access to all or part of the Services where reasonably necessary because of:

  • violation of these Terms;

  • fraud or suspected fraud;

  • security concerns;

  • unlawful conduct;

  • abuse of users or systems;

  • unauthorized use;

  • discontinuation of a program or Service;

  • requests from a Participating Care Organization consistent with applicable requirements; or

  • legal or regulatory requirements.

You may discontinue use of the Services at any time.

 

22. DISCLAIMERS

To the extent permitted by applicable law, the Services are provided “as is” and “as available.”

Aware does not guarantee that:

  • the Services will always be available or error-free;

  • AI-generated or AI-assisted information will always be accurate, complete, or appropriate;

  • every healthcare or support need will be identified;

  • every message, notification, or escalation will be delivered, reviewed, or acted upon;

  • every resource or third-party service will remain available;

  • use of Aware will result in a particular medical or health outcome; or

  • a particular Participating Care Organization, healthcare provider, or other person will respond within a particular period.

Nothing in these Terms limits rights that cannot legally be limited or waived.

 

23. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Nothing in these Terms limits any rights or remedies that cannot legally be waived.

 

24. CHANGES TO THESE TERMS

Aware may update these Terms from time to time as our Services, practices, or applicable laws change.

When these Terms are updated, the “Last Updated” date above will be revised.

Where required by law, we may provide additional notice of material changes.

Continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.
